Vendor Terms

1. Introduction These Vendor Terms and Conditions (“Terms”) govern the registration, onboarding, and business activities of vendors (“Vendor”, “You”) with Sujata Associates Consultancy Private Limited (“Company”, “We”, “Us”). By registering as a vendor, you agree to follow all guidelines, policies, and obligations mentioned in these Terms. 2. Vendor Registration & Approval Vendors must provide accurate and complete information during registration. Sujata Associates Consultancy Private Limited reserves the right to verify all documents. Approval or rejection of a vendor application is at the sole discretion of the Company. The Company may suspend or terminate a vendor for misrepresentation or non-compliance. 3. Vendor Responsibilities Maintain quality products/services as per industry standards. Follow all applicable local, state, and national laws. Ensure timely delivery of goods or completion of services. Respond to customer queries or Company communications promptly. Keep pricing transparent and competitive. 4. Product/Service Standards Products must be genuine, defect-free, and meet quality requirements. Services must be delivered professionally and on time. Vendors must ensure safety, warranty, and compliance certifications where required. Sujata Associates Consultancy Private Limited reserves the right to reject or return products/services that do not meet standards. 5. Payment Terms Payments will be made according to agreed terms or project-specific contracts. All required invoices must be submitted on time. Any payment disputes must be raised within 7–14 days (or as defined). 6. Pricing & Taxes Vendors must provide accurate pricing details. Prices cannot be changed without prior notice to Sujata Associates Consultancy Private Limited. Vendors are responsible for all relevant taxes, GST, duties, or statutory charges. 7. Confidentiality Vendors must keep all contracts, pricing, client data, and business information confidential. No sensitive information may be disclosed without written consent from Sujata Associates Consultancy Private Limited. 8. Intellectual Property Vendors may not use the Company’s trademarks, logos, or brand assets without written permission from Sujata Associates Consultancy Private Limited. 9. Compliance & Legal Obligations Vendors must comply with all legal and regulatory requirements. Any violation of laws (fraud, counterfeit goods, unethical practices) may lead to immediate termination. 10. Termination Sujata Associates Consultancy Private Limited may terminate the vendor relationship without prior notice if: The vendor fails to comply with these Terms Provides false information Damages the Company’s reputation Engages in illegal or unethical activities The Vendor may also request termination with written notice. 11. Liability Vendors are fully responsible for product quality, delivery, safety, and any damages caused to customers or Sujata Associates Consultancy Private Limited. The Company is not liable for losses incurred due to vendor negligence. 12. Dispute Resolution Any disputes will be resolved through negotiation. If unresolved, disputes will be handled under the jurisdiction of [Your City/State] courts applicable to Sujata Associates Consultancy Private Limited. 13. Amendments Sujata Associates Consultancy Private Limited reserves the right to modify or update these Terms at any time. Vendors will be notified of major changes. Acceptance By registering or continuing to work as a vendor with Sujata Associates Consultancy Private Limited, you agree to these Terms and Conditions.
